Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Proprietio (“Service”), provided by Square Working LLC, a Wyoming limited liability company, 680 S Cache Street, Jackson, WY 83001 (“Company”, “we”, “us”). By creating an account, accepting a custom plan offer, or using the Service, you agree to these Terms.

Are you a resident or rental applicant? If you use the portal to pay rent, submit maintenance requests, or apply for a rental, these Terms are not your agreement — see the Resident Portal Terms instead.

1. Account & eligibility

You must be at least 18 years old and able to enter into a binding contract. You are responsible for maintaining the security of your account credentials. Notify us immediately at security@proprietio.com if your account is compromised.

2. Subscription plans

We offer multiple plans across four product lines (Property Management, HOA & Condo Boards, Commercial Real Estate, and Operator) as described on our Pricing page. Plan limits (number of units, properties, owner entities, etc.) are subject to change with 30 days' notice.

Monthly plans

Billed monthly in advance. Cancel anytime; cancellation takes effect at the end of the current billing period. This applies to plans you start yourself from our website.

Plans arranged with our sales team

Where we quote you a price directly — a custom offer, a negotiated rate, or a plan set up for you by our team — the subscription runs for an initial term of 12 months, billed monthly in advance. The term, the monthly price and the start date are stated in the written offer before you accept it; accepting the offer is what commits you to the term. Early cancellation does not entitle you to a refund of months already paid, and the remaining months of the term stay payable. At the end of the initial term the plan continues month to month and you may cancel at any time, exactly like a self-started plan.

We ask for this term only where we have invested in reaching you. If you sign up yourself, no commitment applies.

Annual plans (save 16%)

Annual plans are paid upfront for 12 months at a 16% discount versus the equivalent monthly rate (just under 2 months of equivalent value). Annual plans are committed for the full 12-month term. Early cancellation does not entitle you to a refund of remaining months. You may switch to a monthly plan at the renewal date.

Free trial

New accounts get a 15-day trial with every feature unlocked, capped at 25 units across 1 building, regardless of the plan chosen at signup. After 15 days, the account reverts to the selected plan and that plan's caps apply.

3. Fees & taxes

Subscription fees are stated in USD and exclusive of any applicable taxes (VAT, GST, sales tax), which we may add and remit on your behalf. Stripe processing fees on rent payments are charged separately by Stripe. Proprietio does not charge a platform fee on rent collected via Stripe Connect. Metered add-ons (AI lease drafting, e-signatures, SMS, AI tenant chat, screening, etc.) are billed per-use at the rates listed on the Pricing page; you may set spending caps from your billing settings.

3b. Product-specific addenda

Certain regulated features are governed by supplemental terms, incorporated into these Terms by reference. By activating the feature you agree to the corresponding addendum, which controls over these Terms for that feature:

• Payments Addendum — payment processing via Stripe Connect (onboarding, ACH, chargebacks, reversals)
• Tenant Screening Addendum — screening reports via TransUnion (FCRA permissible purpose, consent, adverse action)
• SMS Messaging Policy — text-message consent, frequency, and opt-out
• Data Processing Addendum — our processor obligations for the personal data you manage in the Service

4. Your data

You retain all rights to data you upload to the Service. We need a limited license to host and process it as required to deliver the Service. We will not access your data except (a) as needed to provide support, (b) for security investigations, or (c) when legally compelled.

You can export your data at any time. After cancellation, your data is retained for 90 days then permanently deleted.

5. Acceptable use

You agree not to:

• Use the Service for any illegal purpose or in violation of fair-housing laws
• Attempt to access other customers' data
• Reverse engineer, scrape, or rate-limit-bypass the Service
• Resell access to the Service without our written consent
• Send spam or unsolicited communications through the Service

6. Service availability

We aim for 99.5% uptime measured monthly. We are not liable for temporary unavailability due to scheduled maintenance, third-party provider outages (Stripe, Render, Vercel), or events beyond our reasonable control.

7. Termination

Either party may terminate at any time. We may suspend or terminate accounts that violate these Terms, engage in fraud, or fail to pay. Upon termination of a paid plan, prepaid amounts (other than annual plan commitments) are refunded pro-rata.

8. Disclaimers

The service is provided "as is". We disclaim all warranties to the maximum extent permitted by law. We do not guarantee the accuracy of state-specific lease law features — consult a licensed attorney for legal advice. We do not provide financial or tax advice — consult a CPA.

Proprietio is a technology platform. You — not we — are responsible for your compliance with the laws that govern your rental business, including the Fair Housing Act, the Fair Credit Reporting Act, state and local landlord-tenant law, security-deposit and trust-accounting rules, and the terms of your leases. We are not a party to any lease, screening decision, or housing decision you make using the Service.

9. Limitation of liability

Our total liability under these terms is limited to the fees you paid us in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, consequential, or punitive damages.

10. Governing law

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-laws rules. Disputes shall be resolved in the state or federal courts located in Teton County, Wyoming. You and we each waive any right to a jury trial.

11. Changes

We may update these Terms. Material changes will be communicated by email at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
